Terms of Service
Nalin Co., Ltd.
1. These terms, and who they apply to
These terms cover your use of Nalin, an email API run from Seoul whose own models draft and classify a Korean app's email templates and check advertising email against the Network Act before a person approves it. They are a contract between Nalin Co., Ltd., of 32 Seongsui-ro 7-gil, Seongdong-gu, Seoul 04781, South Korea (“Nalin”, “we”) and the company that signs up (“Customer”, “you”).
The service is for businesses only, not consumers. By signing up you confirm that you are acting for your business and that you have the authority to commit your company.
The person who accepts these terms accepts them for the company, not for themselves. If you don’t have that authority, please don’t go ahead.
If documents disagree. This order applies: (1) a signed order form or agreement between us, (2) the data processing agreement, (3) these terms, (4) our Privacy Policy, (5) anything else on our website.
2. What the service is
Nalin is an email API run from Seoul. Your app sends us product events or template names with each recipient's values, and we send the matching approved template, in Korean or English, from our mail servers on cloud infrastructure in Seoul. Every template version, imported or drafted by our model, is classed informational or advertising with its reasons, checked against the Network Act's rules for advertising email if it is advertising, and forecast for inbox or spam at Naver Mail, Daum and Gmail, and it sends only after the person you name as its owner approves it. Advertising email goes only to recipients with a dated consent you recorded with us, and carries '(광고)', your sender details and an opt-out in Korean and English. We send the result notice for each consent, refusal or withdrawal and each consent's two-year confirmation, and we keep the inventory of your templates, the consent ledger and the send log in Seoul.
3. What the service is not
These limits are deliberate, and they are part of what you are buying. They are not defects.
Not legal advice. A class, a check result or a forecast is a model's proposal that your template's owner accepts or changes. We do not advise on the Network Act or any other law, and we do not stand in for your privacy officer or your counsel.
Not a marketing suite. There is no visual editor, segment builder or automation canvas. Templates come from your code or from our drafts, and your app decides whom to email and when.
Not other channels. We send email only. We say which channel may carry a message, but we do not send KakaoTalk AlimTalk or Brand Message, text messages or app push.
Not a source of addresses or consent. We supply no recipients and collect no consent. Every address and every consent record comes from you, and we send no email to anyone you did not name.
4. What you need to do, and why it matters
What you get from the service depends a lot on things only you control. Please read this section carefully, because sections 9 and 10 build on it.
Keep consent records true. Record each consent, refusal and withdrawal with its real date, source and the wording the person was shown, including those you receive by phone, in your app's settings or anywhere else, on the day you receive them. Our notices, suppressions and confirmations run from the dates you give us.
Name owners and read before approving. Name a person as the owner of each template, and a deputy for their absence. Approving a version is your decision on its class, its words and its figures, so read the draft, the reasons and the forecast first.
Decide what the model leaves to you. Where the classifier proposes no class, the template's owner decides; where the consent reader flags wording, your privacy officer decides whether those consents count. Advertising to the people concerned waits until they have.
Keep your sending domain in order. Publish SPF and DKIM for your sending subdomain, and DMARC where you can, and keep them published. We send nothing from a domain whose SPF and DKIM fail, and a missing record can hold advertising sends.
Keep your sender details current. Your sender profile (name, email address, phone number and postal address) is printed on every advertising email you send through us; keep it true.
Send advertising only through Nalin. An advertising email you send elsewhere misses our consent checks and our record, and a refusal you hear about elsewhere must reach us the same day so that suppression and the result notice start from the right date.
5. Getting started, and what is free
Importing your templates and receiving the inventory, with every template classed and its reasons, costs nothing and asks for no billing details. We invoice from the month your first email sends through Nalin.
There is no free sending plan. A template our model has drafted or classed for you is yours to keep whether or not you go on to send with us.
6. Fees
Plans. Standard is ₩490,000 a month for up to 1,000,000 emails and Dedicated is ₩1,290,000 a month for up to 3,000,000, invoiced monthly in advance. Emails past the plan are ₩450 per 1,000 on Standard and ₩380 per 1,000 on Dedicated, invoiced the following month. One email is one recipient of one message.
Tax and payment. Prices are in Korean won and exclude value-added tax, which is added at 10% on an electronic tax invoice. Invoices are due within 30 days by bank transfer.
What is not counted. Drafting, classing, the Network Act check, forecasts and seed copies carry no separate charge, and result notices and two-year confirmations do not count toward your emails. Seats for owners, approvers and your privacy officer, imports and exports are not billed.
Price hold. Your plan's prices hold for 12 months from your first invoice, and we announce any later change at least 60 days before it applies.
Cancellation. Plans run month to month. You can cancel for the end of any month and export every record before the account closes.
7. Delivery, availability and support
Approval before sending. No new or changed template version sends without the approval of the person you named as its owner. A send of an unapproved version is refused with an error, not queued.
Holds. Where the forecast expects the spam folder at a mailbox to be at least as likely as the inbox, an advertising send is held for that mailbox's recipients until your approver releases it or the cause is fixed. An informational email is never held by a forecast.
Notices. Result notices go out within three days of the date you record, and two-year confirmations at least 30 days before each consent's second anniversary.
Response times. A sending outage is answered within one hour at any hour on Standard and within 30 minutes on Dedicated; anything else within one business day, Seoul time.
Support. Support is by email at [email protected]. We aim to reply within one business day. That is a target, not a guarantee.
8. The inventory, the consent ledger and the send log
The inventory. Every template version with its class, the model's reasons, the check results, the forecast, its owner and who approved it when, which you can download as a document or a CSV at any time.
The consent ledger. Every consent, refusal and withdrawal you recorded, with its date, source and wording, and every result notice and confirmation sent about it.
The send log. For each email: the recipient's address, the template version, the class, the consent record it relied on, its times and its delivery events.
Correction. If a class or a record is wrong, your template's owner or your privacy officer corrects it. The correction is kept beside the original with who made it and when; nothing is overwritten.
9. What we promise, and what we don’t
We promise to provide the service with reasonable skill and care, and that we have the right to provide it.
We do not promise that a class is the one the Korea Media and Communications Commission or a court would reach, that a forecast comes true, that every email reaches an inbox, or that a draft is free of errors. Every class, draft and forecast is a proposal your template's owner accepts or changes.
Beyond that we give no other warranty. As far as the law allows, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
10. Liability
10.1 Neither of us limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law says can’t be limited.
10.2 Losses neither of us covers. Neither of us is liable for lost profit, revenue, expected savings, business, goodwill or reputation, or for any indirect or consequential loss, however it arises.
10.3 Specific exclusions. We are not liable for fines, surcharges or claims arising from a template or a class your owner approved, from consent records you supplied, from email you sent outside Nalin, from a recipient's mail provider filing mail as spam, or from a send your approver released after a hold.
10.4 Cap. Our total liability to you in any 12-month period is limited to the fees you paid us in that period. The cap does not apply to damage we cause intentionally or through gross negligence, which South Korea's Act on the Regulation of Terms and Conditions does not allow standard terms to exclude.
10.5 You accept that the limits in sections 9 and 10 are a fair way to share risk, given the price and your part under section 4, and that we could not offer the service at this price without them.
11. Confidentiality and data
Your templates, drafts, classes, forecasts, consent records, send log and the fact that you send email through Nalin are your confidential information. We use them only to run your account and do not disclose them, and opt-in pairs carry no merge value or personal detail. The Network Act and KISA's guide, which our models read, are public.
How we handle personal data is set out in our Privacy Policy and in the data processing agreement between us, which forms part of these terms. If the DPA and these terms disagree about personal data, the DPA wins.
12. Who owns what
Your templates, the drafts you approve, your consent records and your send log are yours. We claim no rights in a draft our model writes for you; once approved it is your template.
The API, the console, the models and the corpus they learn from are ours. The command-line tool that renders templates in your build and the SDKs are published under the MIT License.
You may not use our name or logo in public, and we may not use yours, without written permission first.
13. How long this lasts, and how it ends
13.1 The contract starts when you sign up and runs until one of us ends it.
13.2 You can end it. Cancel at any time. It takes effect at the end of the current billing month, unless section 6 sets a minimum term.
13.3 We can end it. We can end it with 30 days’ notice. We can end it immediately if you seriously break these terms and don’t fix it within 14 days of being told, if you become insolvent, or if your use exposes us to legal risk.
13.4 What happens then. We stop delivering and stop billing. You keep everything already delivered to you, and your right to use it continues. We delete or return our working copies as the DPA says. Sections 9, 10, 11 and 12 continue to apply.
14. Changes to these terms
We may update these terms. A change that matters takes effect 30 days after we email you about it. If you don’t accept it, you can end the contract before then. Using the service after that date means you accept the change.
15. Governing law and courts
These terms, and any dispute about them or about the service, are governed by the laws of the Republic of Korea.
The Seoul Central District Court has exclusive jurisdiction at first instance over any dispute about these terms or the service.
